| I. | NAME OF SPONSOR(S) |
| Video Secrets, VS Media, Inc., and Falcon Studios (the “Sponsors”). |
| II. | ELIGIBILITY |
| The Video Secrets/Falcon Live’s Wine Country Getaway (the "Sweepstakes") is open to all active marketing affiliates of Sponsors that are currently, as of September 1, 2007, sending active customers to Sponsors' websites located at falconlive.com (hereinafter referred to as “Participants”). Each Participant must be 21 years old or older at the time of entry and a U.S. resident. Each Participant must have had Internet service with a North American Internet Service Provider and access to the Internet no less than one (1) day prior to the first day of the Sweepstakes. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who are currently, or have within the past six months, performed services for Sponsors, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes or supplying any of the prizes, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or play. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months per year. |
| III. | HOW AND WHEN TO ENTER |
| NO PURCHASE NECESSARY. Sweepstakes begins at 12:00:01am on September 1, 2007 and ends at 11:59:59pm on September 30, 2007. Void where prohibited by law. Internet access is required to enter. All federal, state, and local laws and regulations apply. | |
| Each Qualifying Entry (as defined below) sent to Sponsors' website is equal to one (1) entry in the Sweepstakes. There is no limit to the number of Qualifying Entries that may be received in connection with each Participant's affiliate code. As used herein, a "Qualifying Entry" shall be deemed received if (i) it is from a user who is not an existing customer to Sponsors' website; (ii) the user accesses the Sponsors' website directly from marketing placed by Participant; and (iii) the user makes a purchase on Sponsors' website during this same session. Participants must comply with all applicable federal, state and local laws, rules and regulations, as well as with the Terms and Conditions of the Video Secrets/ Affiliate Programs. |

Entries must be received by 11:59:59pm on September 30, 2007, when the Sweepstakes end. All times are Pacific Time. Sponsors are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any web-site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this Sweepstakes.Participants must provide a valid affiliate account number and e-mail address. It is the sole responsibility of the Participant to notify the Sweepstakes judges in writing if the Participant changes his/her e-mail address. To do so, e-mail sweepstakes@videosecrets.com. In case of dispute as to identity of a winner who entered online, winner will be deemed to be the person who is the registered user of the affiliate account submitted in the winning entry. |
| IV. | HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED |

Sponsors will arrange airfare, lodging, transportaion, wine tour and lunch. Grand Prize Winner will be responsible for contacting the Sponors for these arrangements. Any other expenses not specifically listed above are the sole responsbility of the Winner. |
| VI. | RELEASES |
| By participating in this Sweepstakes, Participants agree to be bound by these Official Rules and the decisions of the Sponsors which shall be final in all respects. By participating in this Sweepstakes and accepting any prize that they may win, Participants agree to release Sponsors, its parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes (including damage to computers) and/or acceptance, receipt, use or misuse of the prize. Participants authorize the Released Parties to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, worldwide in perpetuity, or on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsors are not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. To claim prize, winner must confirm acceptance of prize via electronic mail (e-mail) to sweepstakes@videosecrets.com by October 10, 2007. In addition, winner must sign liability/publicity release, all within the time-period specified by Sponsors. |
| VII. | MISCELLANEOUS |
| Sponsors reserve the right, in their sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the Sweepstakes in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the Sweepstakes as originally planned. |

| To obtain the name of the winner, send your name and e-mail address to sweepstakes@videosecrets.com or send a self-addressed stamped envelope to Video Secrets/Falcon Live, c/o VS Media, 26500 W. Agoura Road, Suite 102 - 734, Calabasas, CA 91302-2969, Attn: Falcon Live’s Wine Country Getaway. Residents of WA or VT may omit return postage. Requests must be received by October 31, 2007. |
